VENTii provides a technology platform designed to facilitate a streamlined, premium connection between users and independent mental health experts and therapists.

• We are a technology provider: VENTii does not directly provide medical, psychiatric, or clinical services.
• Independent Professionals: The therapists and experts utilizing our platform are independent practitioners. VENTii does not employ them and is not responsible for the clinical outcomes or specific advice provided during your sessions.
• No Medical Advice from VENTii: Any informational content provided by VENTii itself (outside of direct therapist communication) is for general educational purposes and does not constitute medical advice.

4. User Accounts and Security

To use certain features of VENTii, you must create an account.

• Eligibility: You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account.
• Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• Accuracy: You agree to provide accurate and complete information when registering.

5. Acceptable Use and Platform Rules

We are committed to maintaining a safe, respectful environment. By using VENTii, you agree not to:

• Use the platform for any illegal or unauthorized purpose.
• Harass, abuse, or threaten any therapist, expert, or operational staff member on the platform.
• Attempt to hack, destabilize, or bypass the security measures of the platform.
• Share or distribute malicious software, viruses, or spam.

We reserve the right to suspend or terminate your account immediately, without notice, if you violate these rules.

6. Payments and Subscriptions

• Fees: Access to certain features or direct connections with experts may require payment. All fees are clearly displayed before you are charged.
• Cancellations: You may cancel your subscription or services in accordance with our cancellation policy, accessible in your account dashboard.

7. Intellectual Property

All original content, design elements, animations, and software code on the platform are the exclusive intellectual property of VENTii. You may not copy, reproduce, or distribute any part of our platform without our express written permission.

8. Disclaimer of Warranties

VENTii is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the platform will be entirely uninterrupted, error-free, or completely secure. While we prioritize a premium, frictionless experience, technical downtime may occur.

9. Limitation of Liability

To the maximum extent permitted by law, VENTii and its founders, operational team, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use the platform.
• Any interactions, advice, or outcomes resulting from your connections with independent therapists or experts on the platform.
• Unauthorized access to or alteration of your transmissions or data.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Delaware / Ontario, without regard to its conflict of law provisions. Any legal action or dispute shall be resolved exclusively in the courts located within Delaware or Ontario.

11. Changes to These Terms

We reserve the right to update or modify these Terms at any time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of this document or via a notification on the platform. Your continued use of VENTii after changes are posted constitutes your acceptance of the new Terms.
